In the perspective of the updating of their statutes by Monegasque public limited companies in accordance with Law No. 1.573 of April 8, 2025, concerning the modernization of company law, the CCAF (Commission de Controle des Activités Financières) reminds approved companies that, pursuant to the provisions of Article 8 of Law No. 1.338 of September 7, 2007, on financial activities, any modification of one or more key elements of the approval file requires the Commission’s prior authorization.

Therefore, modifications concerning, but not limited to, the share capital, corporate purpose, as well as management and administration of the company must be submitted to the CCAF for prior approval.

Furthermore, prior authorization from the Commission is also required when modifications relating to the management and administration procedures result in the creation of new positions (for example, Chairman of the Board, Chief Executive Officer, Managing Director) that are held by individuals for whom CCAF authorization has already been granted.

The CCAF therefore invites the companies concerned to contact the General Secretariat in order to ensure compliance with the provisions of Law No. 1.338 of September 7, 2007 mentioned above.
